Please read these Terms of Service ("Terms") carefully before using the Watchio platform.
1. Acceptance of Terms
By accessing or using Watchio's services, you agree to be bound by these Terms. If you are using the services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Watchio provides an observability platform including infrastructure monitoring, application performance monitoring, log management, and alerting services. The specific features available to you depend on your subscription plan.
3. Account Registration
To use our services, you must:
- Create an account with accurate and complete information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access
- Be at least 18 years old or have parental consent
4. Acceptable Use
You agree not to:
- Use the service for any illegal purpose
- Violate any laws or regulations
- Infringe on the rights of others
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the service
- Transmit malware or harmful code
- Use the service to send spam or unsolicited messages
- Resell or redistribute the service without authorization
5. Payment and Billing
For paid plans:
- Fees are billed in advance on a monthly or annual basis
- All fees are non-refundable unless otherwise stated
- We may change pricing with 30 days notice
- You are responsible for all applicable taxes
- Failure to pay may result in service suspension
6. Your Data
You retain ownership of all data you submit to the service ("Your Data"). By using the service, you grant us a limited license to process Your Data solely to provide the service. We will handle Your Data in accordance with our Privacy Policy.
You are responsible for ensuring you have the right to submit Your Data and that Your Data does not violate any laws or third-party rights.
7. Intellectual Property
Watchio and its licensors own all rights to the service, including all software, documentation, and content. These Terms do not grant you any rights to use our trademarks or branding without prior written consent.
8. Service Level Agreement
For eligible plans, our service level commitment is detailed in our Service Level Agreement. Free tier users are not covered by the SLA.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATCHIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11. Termination
Either party may terminate this agreement at any time. Upon termination:
- Your access to the service will be revoked
- We may delete Your Data after a grace period
- You remain responsible for any outstanding fees
- Provisions that should survive will remain in effect
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco County, California.
13. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes at least 30 days before they take effect. Your continued use of the service constitutes acceptance of the modified Terms.
